These Terms of Service ("Terms") govern your access to and use of the Founders Match platform and network (the "Service"), operated by Founders Brands Limited ("we", "us", or "our").
By accessing the Service or by clicking to accept these Terms when this option is made available to you, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
Please read these Terms carefully before using the Service.
1.1 Founders Brands Limited is a company registered in England and Wales under company number 15716753, with its registered office at 180 Strand, 6th Floor, London, WC2R 3DA.
1.2 Founders Match is a curated networking platform designed to facilitate strategic introductions between enterprise-ready founders and corporate decision-makers.
1.3 Founders Match is a joint venture between Founders Forum Group and Globant. Founders Forum Group curates the founder and corporate network, and Globant provides technology development and infrastructure.
2.1 Business use only: The Service is a business-to-business (B2B) platform. By registering, you warrant that you are acting for purposes relating to your trade, business, craft, or profession and not as a consumer. You acknowledge that the consumer protection provisions of the Consumer Rights Act 2015 do not apply to your use of the Service.
2.2 Authority: You warrant that you have the legal authority to bind the entity you represent to these Terms.
2.3 Invitation only: Membership of Founders Match is by invitation only. We reserve the right to accept or decline any membership application at our sole discretion without giving reasons, and to set and vary eligibility criteria for membership.
2.4 Accurate information: By applying for membership, you represent and warrant that the information you provide is accurate and complete. You must not misrepresent your professional status, the scale of your business, or the nature of any challenges or opportunities posted to the platform.
3.1 You acknowledge that the Service is currently in an Early Access phase. This means the Service is provided for evaluation purposes, may contain errors, and the matching algorithms are still being refined.
3.2 During the Early Access Period:
3.3 If we introduce membership fees in the future, we will notify you at least 30 days before they take effect. You may terminate your membership at any time if you do not wish to pay such fees.

6.1 In the course of using the Service, you may receive sensitive information regarding another member's business, including challenges, roadmaps, or proprietary problems ("Confidential Information").

6.3 Survival: This confidentiality obligation survives the termination of your membership for a period of three (3) years.
6.4 You may publicly state that you are a member of Founders Match, but you may not imply that we endorse your products or services, and you may not use our name, logo, or branding without our prior written permission.
7.1 To protect the integrity of the network, you agree that you shall not, for the duration of your membership and for twelve (12) months thereafter, directly or indirectly solicit for employment or hire any employee or officer of another member whom you were first introduced to via the Service.
7.2 This restriction does not prevent you from hiring an individual who responds to a bona fide public recruitment advertisement not specifically targeted at members of the Service.
8.1 Introduction platform only: Founders Match is an introduction platform only. We do not vet members to the standard of due diligence. We are not a party to any agreement, investment, or partnership formed between members.
8.2 The Service uses algorithmic matching to suggest potential connections based on the information you and other members provide. You acknowledge and agree that:
9.1 Your content: You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, host, and display your content solely to provide and improve the Service.
9.2 AI and algorithm training: You expressly agree that we may use anonymised, de-identified data derived from your interactions to train and refine our matching algorithms and artificial intelligence models.
9.3 Our intellectual property: We own all rights in the Service, the "Founders Match" brand, and the outputs of our matching algorithms. Nothing in these Terms grants you any rights in the Service other than the limited right to access and use it in accordance with these Terms.
9.4 You represent and warrant that you have all necessary rights to submit your content and that it does not infringe any third party's intellectual property or other rights.
10.1 Each party shall comply with its obligations under the UK General Data Protection Regulation and the Data Protection Act 2018.
10.2 Controller roles: We are the controller of personal data processed through the platform. Once an introduction is made and you exchange personal data directly with another member outside the platform, you and that member act as independent controllers of that shared data and are each responsible for your own compliance with data protection law.
10.3 Your profile information and company details will be visible to other members of the network for the purpose of facilitating introductions and potential collaborations.
10.4 Our processing of your personal data is governed by our Privacy Policy, which forms part of these Terms.
11.1 The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 We do not warrant that:
12.1 Liability cap: Subject to clause 12.3, our total aggregate liability to you in contract, tort (including negligence), or otherwise arising out of or in connection with these Terms or your use of the Service shall not exceed one thousand pounds sterling (£1,000).
12.2 Excluded losses: We shall not be liable for any loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, or any indirect, special, or consequential loss arising from a match or lack thereof, or otherwise arising from your use of the Service.
12.3 Unlimited liability: Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.
12.4 Third party conduct: We shall not be liable for any actions, omissions, or conduct of other members.
12.5 Reasonableness: You acknowledge that given the Early Access and complimentary nature of the Service, the limitations of liability in this clause 12 are reasonable. You have had the opportunity to seek independent legal advice regarding these Terms.
13.1 You agree to indemnify, defend, and hold harmless Founders Brands Limited, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your content; (c) your breach of these Terms; or (d) your violation of any third party's rights.
14.1 Termination by you: You may terminate your membership at any time by contacting us at hello@founders-match.co or via the platform settings.
14.2 Termination by us for cause: We may suspend or terminate your access to the Service immediately if:
14.3 Termination during Early Access: During the Early Access Period, we may suspend or terminate your access for any reason by giving you seven (7) days' written notice.
14.4 Effect of termination: Upon termination, your right to access the Service will cease immediately. We will anonymise your personal data in accordance with our Privacy Policy, retaining only such anonymised data as is necessary to maintain the integrity of our systems.
14.5 Survival: Clauses that by their nature should survive termination shall survive, including Confidentiality (clause 6), Non-Solicitation (clause 7), Intellectual Property (clause 9), Limitation of Liability (clause 12), Indemnification (clause 13), and Governing Law (clause 17).
15.1 We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
16.1 Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
16.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
16.5 No third party rights: These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
17.1 These Terms and any dispute arising out of them shall be governed by and construed in accordance with the laws of England and Wales.
17.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
